I believe they are similar games, but Warhammer is a goblins and elves kind of setting, kind of like WoW (Warhammer fans are gonna flame me for that one lol) where Warhammer 40k is the futuristic space marines (*cough* gears of war *cough*) type of game. Although to be clear Warhammer 40k and Warhammer both came out before the examples I used.Akodo

Warhammer takes place in an age of fantasy, or the dark ages. Warhammer 40k takes place in the year 40,000+. Theres the difference, also it's considered the same 'reality'.
